1. Acceptance of Terms

By accessing this website or engaging any services offered by Cygnus Digital Pty Ltd (“Cygnus Digital”, “we”, “us”, “our”), you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree, please do not access or use our website or services.

These Terms apply to all website visitors, prospective clients, and clients located in Australia.


2. About Us

Cygnus Digital Pty Ltd is an Australian-based digital marketing business providing services including, but not limited to:

  • Google Ads management

  • Meta (Facebook and Instagram) advertising

  • Digital strategy and consulting

  • SEO services

  • Website optimisation and conversion rate optimisation

  • Email marketing

  • Social media management

  • Website development (through partner teams as applicable)

We primarily operate within Australia.


3. Use of Website

You agree not to misuse our website, interfere with its functionality, or engage in unlawful activities while accessing our platform. We reserve the right to restrict access if misuse is detected.


4. Engagement of Services

Engaging our services requires acceptance of:

  • A written proposal, quote, or agreement

  • These Terms of Service

  • Any additional written terms applicable to your project

Service delivery is always governed by the specific agreement issued to you.


5. Minimum Contract Terms

For ongoing ads management, a minimum contract period of 3 months applies unless otherwise agreed in writing.
After the initial period, services may move to a month-to-month arrangement with standard notice periods.


6. Fees, Billing and Payments

6.1 Fee Structure

Cygnus Digital may charge:

  • Hourly fees (standard rate: $100/hr)

  • Monthly retainers

  • Project-based fees

  • Consulting fees

All pricing is in AUD and inclusive of GST, unless otherwise stated.

6.2 Payment Terms
  • Standard payment terms are 14 days from invoice date.

  • Late payments may result in service delays, suspension, or additional fees.

  • Clients remain responsible for their own advertising spend paid directly to platforms such as Meta, Google, or others.

6.3 Refunds

Cygnus Digital does not offer refunds for:

  • Hours already worked

  • Retainers already commenced

  • Digital campaigns that do not meet performance expectations

  • Third-party costs such as ad spend, software subscriptions, or hosting fees


7. Client Responsibilities

Clients must:

  • Provide timely access to required accounts and systems

  • Supply accurate information, creative assets, approvals, and required materials

  • Ensure provided content complies with Australian advertising laws and platform policies

  • Maintain updated billing information with advertising platforms

  • Understand that delays caused by withheld assets or approvals may affect outcomes


8. No Guarantee of Results

Digital marketing involves variables beyond our control. Cygnus Digital does not guarantee:

  • Sales

  • Leads

  • Return on ad spend

  • Search rankings

  • Specific performance milestones

We commit to best-practice strategy and optimisation, but outcomes cannot be guaranteed.


9. Advertising Compliance

All services must comply with:

  • Google Ads Policies

  • Meta Advertising Policies

  • Australian Consumer Law

  • AHPRA guidelines (when applicable)

  • Platform-specific rules

If a requested campaign violates policies, Cygnus Digital may refuse or modify the request.


10. Third-Party Services

We may use third-party platforms and tools including Google, Meta, HubSpot, CRMs, CMS systems, analytics tools, and advertising technologies.

Cygnus Digital is not responsible for:

  • Platform outages or downtime

  • Account suspensions or restrictions due to client behaviour or historical issues

  • Third-party service failures

  • Subscription or software fees paid by the client

We sometimes work with partner teams for specialised services (such as web development), but clients contract services directly with Cygnus Digital unless otherwise arranged.


11. Intellectual Property

11.1 Work Produced by Cygnus Digital

Upon full payment, clients receive a licence to use:

  • Ad copy

  • Creative assets

  • Campaign setup

  • Marketing collateral

  • Landing pages created specifically for them

Cygnus Digital retains ownership of:

  • Proprietary processes

  • Frameworks

  • Strategies

  • Templates

  • Training materials

  • Unpaid or draft work

11.2 Client Materials

Clients retain ownership of all materials they supply.
By providing these materials, clients grant Cygnus Digital a licence to use them solely for fulfilling the agreed services.


12. Confidentiality

Both parties agree to maintain confidentiality over sensitive information, strategies, data, and business intelligence unless disclosure is permitted or required by law.


13. Termination

Either party may terminate ongoing services according to the notice period outlined in the service agreement.

Cygnus Digital may terminate or suspend services immediately if:

  • Payments are overdue

  • Abusive or inappropriate behaviour occurs

  • Illegal or unethical requests are made

  • Required access is withdrawn

  • Policy-violating content is requested or submitted

Termination does not remove the client’s responsibility to pay for completed work and incurred costs.


14. Limitation of Liability

To the maximum extent permitted by law, Cygnus Digital is not liable for:

  • Loss of revenue, profit, data, or business opportunities

  • Platform outages, updates, or algorithm changes

  • Campaign underperformance

  • Third-party service failures

  • Data loss caused by external platforms

  • Financial loss from ad spend or budget allocation

Our total liability is limited to the amount paid by the client for services in the 30 days preceding the issue.


15. Privacy

Personal information is handled according to our Privacy Policy, which complies with the Privacy Act 1988.


17. Changes to Terms

We may update these Terms at any time. Updates take effect once published on this website.
